Going Public

Im not an authority on U.S trade law but I belive they have a similar setup as the UK.
As long as you register your company with the goverment I would believe its OK.

In the UK to become a .ltd you must register at companieshouse.gov.uk which costs £15 and then make your accounts public thereafter (you also need 3 employees).

I was considering reformation as a LLC. Can I go public as a LLC or do I have to be a Corporation?

I believe that an LLC would need converting to a Corporation in order to go public.

You don't need three employees - just a director and a company secretary (not the same as assistant type secretary). If there is only one director he or she cannot also be the secretary. However, if there are two, one can be secretary as well. There are no qualification requirements for either directors or secretaries.

LOL - dodgy ! I think not !

OK so it's a little bit more work to have a Limited Company (annual returns to companies house etc), but, there are a lot of benefits. Primarily - if for any unforseen reason the company went under - as long as there is no wrong doing by the directors, personal assets are not at risk. you must be a c class corporation. very expensive to go public. why do you want to thinkg about going public?
